Brief

Appointing a new director or updating existing director details is a crucial compliance step under the Companies Act, 2013. Every company must file Form DIR‑12 with the Registrar of Companies (ROC) with in 30 days through the MCA portal whenever there is an appointment, resignation, or change in designation of directors.

Types of Director

Managing Director


A Managing Director holds overall control of company operations and strategic decision‑making. Their appointment must be filed with the ROC through Form DIR‑12 on the MCA portal to ensure compliance.

Whole‑time Director 


A Whole‑time Director is fully involved in day‑to‑day management and execution of company policies. Their appointment or change in designation requires DIR‑12 filing under the Companies Act, 2013.

Additional Director 


An Additional Director is appointed till the next Annual General Meeting (AGM) and can later be regularized. Companies must submit Form DIR‑12 with the Registrar of Companies (ROC) for such appointments.

Independent Director 


Independent Directors safeguard corporate governance and compliance standards in the company. Their appointment is a statutory requirement and must be reported through DIR‑12 filing on the MCA portal

Alternate Director 


An Alternate Director acts in place of another director during absence or incapacity. Filing DIR‑12 form ensures that the ROC records reflect this temporary appointment accurately.

Nominee Director 


A Nominee Director is appointed by financial institutions, investors, or lenders to represent their interests. Their appointment must be documented and filed with the ROC via DIR‑12 for legal compliance.

 

Process


Step 1 - Check whether the proposed Director has a DIN and Digital Signature (DSC).

Step 2 – If the Director does not have a DIN, first complete the Digital Signature process, then proceed with the DIN application​ through Form DIR‑3 if not already allotted.

Step 3 – Prepare all required documents, including Notice of Board Meeting, Board Resolution, Notice of EGM, EGM Resolution, Letter of Appointment, and DIR-2 (Consent of the Director).

Step 4 – Conduct the Board Meeting / EGM and pass the necessary resolutions for the Director’s appointment.

Step 5 – After completing the DIN approval and documentation, file Form DIR-12 with the MCA for adding the Director.

Step 6 – The MCA processes the form, and upon approval (often instant), the incoming Director officially becomes a Director of the Company.
